Udraft 3D Publisher — End User Licence Agreement
Version 2.0 — 23 August 2026
This Agreement is between Udraft Pty Ltd (ACN 670762839, "Udraft") and the person or entity named on the licence key or account ("you").
**By installing, copying, activating or using the Software, you agree to be bound by this Agreement.** If you do not agree, do not install or use the Software, and delete all copies.
1. Definitions
"Software" means the Udraft 3D Publisher in every form Udraft supplies it: the compiled Revit add-in, the pyRevit extension, the hosted converter, the viewer template, the payload format, the licence-key mechanism, and all documentation, updates and modified versions.
"Viewer Code" means the interactive WebGL viewer and its supporting code embedded by the Software into each file it produces.
"Output File" means an HTML file generated by the Software: your Model Data, plus the Viewer Code.
"Model Data" means the geometry, properties, images and other project information you supply to the Software.
"Licence Key" means the key, account credential or entitlement record that sets your permitted scope of use and its expiry.
2. Licence grant
2.1 Subject to your compliance with this Agreement and payment of all fees, Udraft grants you a **non-exclusive, non-transferable, non-sublicensable, revocable** licence, for the term of your Licence Key, to install and use the Software solely for your own internal business purposes, on no more than the number of workstations or user accounts your Licence Key covers.
2.2 The Software is licensed, not sold. No title passes to you. Udraft reserves every right not expressly granted in this clause 2.
2.3 You may make one copy of the Software solely for backup.
3. Restrictions
You must not, and must not permit any person to:
(a) copy, publish, distribute, rent, lease, lend, sell, resell, sublicense, assign or otherwise make the Software available to any third party, except as clause 4 permits for Output Files;
(b) use the Software to provide a bureau, hosting, outsourcing, managed or "as-a-service" offering to third parties, or otherwise operate it for the benefit of anyone other than you;
(c) modify, adapt, translate, or create derivative works of the Software or the Viewer Code;
(d) reverse engineer, decompile, disassemble, or attempt to derive the source code, structure, algorithms, payload format or data structures of the Software, **except and only to the extent that this restriction is expressly prohibited by applicable law**, including sections 47B to 47F of the Copyright Act 1968 (Cth), and provided you first give Udraft written notice and a reasonable opportunity to supply the necessary information itself;
(e) circumvent, disable, remove, defeat or interfere with any licence check, entitlement verification, edition flag, integrity signature, watermark, branding mark or other technical measure in the Software or an Output File, or use any Licence Key or file with a modified or forged entitlement;
(f) remove, obscure or alter any copyright, trade mark, authorship or proprietary notice in the Software, the Viewer Code or an Output File;
(g) disclose, share, publish or transfer a Licence Key, or use a Licence Key beyond the workstations or users it covers;
(h) use the Software, the Viewer Code, its payload format or any information derived from them to design, develop, train, market or support a product or service that competes with the Software;
(i) publish any benchmark, performance or comparative evaluation of the Software without Udraft's prior written consent; or
(j) use the Software in breach of any law, or in any way that damages Udraft's reputation or infringes another person's rights.
Each of paragraphs (a), (b), (e), (g) and (h) is a material term. Breach of any of them terminates your licence immediately under clause 11.
4. Output Files — what you may distribute
4.1 Your Model Data is yours. Udraft claims no ownership of it and, for locally installed Software, never receives it (clause 8).
4.2 Udraft grants you a perpetual, worldwide, royalty-free licence to reproduce and distribute Output Files **exactly as generated by the Software**, to your clients, consultants and project stakeholders, for the purpose of viewing and reviewing the Model Data each file contains. This licence survives expiry of your Licence Key, so files already delivered to your clients keep working.
4.3 The Viewer Code in an Output File remains Udraft's property and is licensed only as part of that file, for that purpose. You must not, and must not permit any recipient to:
(a) extract, isolate, copy or reuse the Viewer Code, in whole or part, apart from the Output File it was generated in;
(b) modify an Output File other than through the Software; or
(c) remove or obscure any Udraft watermark, branding mark or copyright notice in an Output File — including the watermark applied to files produced under a free or unlicensed edition.
4.4 Recipients of an Output File who merely view it are licensed to do so on the terms of clauses 4.3, 6 and 12. You must not represent to a recipient that they have any broader rights.
5. Technical protection measures
5.1 You acknowledge that the licence check, the edition flag and its integrity signature, the entitlement verification, and the watermarking in the Software and in Output Files are technological protection measures within the meaning of section 10(1) of the Copyright Act 1968 (Cth), applied to control access to and use of works in which Udraft owns copyright.
5.2 Circumventing such a measure, or manufacturing, supplying or distributing a device, service or information to enable its circumvention, is prohibited by this Agreement and may give rise to civil and criminal liability under Part V Division 2A of that Act, independently of any breach of this Agreement.
6. Fitness for purpose — visualisation, not a certified deliverable
6.1 The Software produces a visualisation aid. Output Files, and any measurement, dimension, area, volume, coordinate, level, clash observation or quantity obtained from them, are indicative only and are derived from the Model Data you supply and from tessellated approximations of it.
6.2 You must not rely on an Output File as a source of truth for construction, set-out, fabrication, procurement, certification, statutory approval, safety or any other decision with physical or financial consequences. Verify every such figure against the authoritative source model and the responsible practitioner's documentation.
6.3 The accuracy and completeness of an Output File depend on the Model Data and on the export settings of the authoring application, which are outside Udraft's control.
6.4 The Software is not a substitute for professional engineering, architectural, surveying or building-certification services, and does not constitute professional advice.
7. Ownership, confidentiality and feedback
7.1 The Software, the Viewer Code, the payload format, the user interface, the documentation, and all copyright, trade marks, trade secrets and other intellectual property rights in them are and remain the exclusive property of Udraft and its licensors.
7.2 The Software is disclosed to you in confidence. Its non-public structure, design, internal interfaces and file formats are Udraft's confidential information and trade secrets. You must protect them with at least the care you use for your own confidential information, and must not disclose them.
7.3 If you give Udraft feedback, suggestions or bug reports, you grant Udraft a perpetual, irrevocable, worldwide, royalty-free licence to use them for any purpose without obligation or attribution. You are not obliged to give feedback.
8. Your data
8.1 Locally installed Software (the Revit add-in and the pyRevit extension) runs entirely on your computer. Model Data, telemetry and personal information are not transmitted to Udraft.
8.2 The hosted converter necessarily receives the files you upload, and is governed by Udraft's separate Service Terms and Privacy Policy. Where you submit a Revit model for cloud conversion, that file is transmitted to Autodesk Platform Services for processing and is subject to Autodesk's terms as well.
8.3 You warrant that you hold all rights necessary to submit the Model Data to the Software and, where clause 8.2 applies, to have it processed as described.
9. Licence keys, verification and audit
9.1 Licence Keys are issued to you alone and are confidential.
9.2 The Software may verify your entitlement and record the licensee name, edition and expiry in Output Files.
9.3 You must keep accurate records of your installations and users. On 14 days' written notice, and no more than once in any 12 months, Udraft may verify your compliance with clause 2.1, during business hours and without unreasonable disruption. If the review discloses under-licensing, you must promptly pay the fees due; if it discloses under-licensing of more than 5% of your entitlement, you must also pay Udraft's reasonable costs of the review.
10. Third-party components
The Software includes open-source components licensed by their own authors. Those components are governed by their own licence terms, which are listed in the documentation accompanying the Software. **To the extent of any inconsistency, those terms prevail over this Agreement in respect of those components** — including any right they grant you to modify, reverse engineer or redistribute the component itself. Nothing in this Agreement is intended to restrict a right granted to you by an open-source licence.
11. Term and termination
11.1 This Agreement runs from your first installation or use until your Licence Key expires or the Agreement is terminated.
11.2 Your licence terminates immediately and without notice if you breach a material term (clause 3). Udraft may terminate for any other breach not remedied within 14 days of written notice.
11.3 On termination you must immediately stop using the Software, uninstall and destroy all copies, and on request certify in writing that you have done so.
11.4 Clauses 3(c)–(i), 4.3, 5, 6, 7, 9.3, 12, 13 and 15 survive termination. Output Files generated while your licence was valid may continue to be used and distributed under clause 4.
12. Australian Consumer Law
12.1 **Nothing in this Agreement excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law ("ACL") that cannot lawfully be excluded, restricted or modified.** Any term of this Agreement that would do so does not apply to you to that extent.
12.2 Where you acquire the Software as a "consumer" under the ACL, our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures you are entitled to a replacement or refund, and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if they fail to be of acceptable quality and the failure does not amount to a major failure.
12.3 Where the ACL permits Udraft to limit its liability for a breach of a guarantee (other than a guarantee under sections 51 to 53 of the ACL), Udraft's liability is limited, at Udraft's option, to: replacing or resupplying the Software or the services; or paying the cost of replacement or resupply.
13. Warranties and liability
13.1 Subject to clause 12, the Software is provided **"as is" and "as available"**, and Udraft excludes all warranties, conditions, guarantees and representations, express or implied, including as to merchantability, fitness for a particular purpose, accuracy, and non-infringement.
13.2 Udraft does not warrant that the Software will be uninterrupted or error-free, that defects will be corrected, or that any Output File will be accurate, complete or fit for a particular use.
13.3 Subject to clause 12, Udraft is not liable for any loss of profit, revenue, business, goodwill, anticipated saving, data or Model Data, nor for any indirect, incidental, special or consequential loss, however arising and even if advised of its possibility.
13.4 Subject to clause 12, Udraft's total aggregate liability arising out of or in connection with this Agreement and the Software, on any basis (including negligence), is limited to **the greater of A$100 and the total fees you paid to Udraft for the Software in the 12 months before the event giving rise to the liability**.
13.5 You indemnify Udraft against all claims, losses and costs arising from your breach of clause 3, clause 4 or clause 8.3, or from your use of an Output File contrary to clause 6.
13.6 Each party must take reasonable steps to mitigate its loss. Udraft's liability is reduced to the extent your act or omission caused or contributed to the loss.
14. Compliance
You must comply with all applicable export controls and sanctions laws, and must not supply the Software to any person where doing so would breach them.
15. General
15.1 Assignment. You must not assign or novate this Agreement without Udraft's written consent. Udraft may assign it to a successor of its business.
15.2 Entire agreement. This Agreement is the entire agreement between the parties about the Software and supersedes all prior representations, except that nothing excludes liability for fraud.
15.3 Variation. Udraft may vary this Agreement for future releases; continued use of a release supplied after the variation constitutes acceptance. The version that applies to a release is the one supplied with it.
15.4 Severability. If a provision is unenforceable, it is severed and the remainder continues in force.
15.5 Waiver. A failure to enforce a right is not a waiver of it.
15.6 Relationship. Nothing creates a partnership, agency or joint venture.
15.7 Governing law. This Agreement is governed by the laws of **New South Wales, Australia. The parties submit to the exclusive jurisdiction** of the courts of New South Wales and the courts competent to hear appeals from them.
15.8 Equitable relief. You acknowledge that breach of clause 3, 4.3, 5 or 7 may cause Udraft harm not compensable in damages, and that Udraft is entitled to seek injunctive relief in addition to any other remedy.
