Udraft 3D — Terms and Conditions
Version 1.1 — 5 September 2026
These Terms are between Udraft Pty Ltd (ACN 670762839, "Udraft", "we") and you. They govern the Udraft 3D website, the hosted creation service, your account, tokens, memberships and payments, and — when it is released — the Udraft 3D Revit add-in and any other product we supply under them.
**By using the site, creating an account, or submitting a file for creation, you agree to these Terms.** The software itself — including the viewer code embedded in every file the Service produces, and the Revit add-in — is licensed under the **Udraft 3D End User Licence Agreement ("EULA**"), which forms part of these Terms. If these Terms and the EULA conflict about the software or an Output File, the EULA prevails.
1. Definitions
"Service" means the Udraft 3D website and hosted converter: the upload, creation, delivery and account facilities at udraft3d.udraft.com.au and any successor address.
"Creation" and "Output File" mean an HTML viewer file generated by the Service or the Software from your Model Data, as defined in the EULA.
"Software", "Viewer Code" and "Model Data" have the meanings given in the EULA.
"Tokens" means the prepaid usage credits described in clause 8.
"Free Tier" means use of the Service without payment, producing watermarked evaluation Output Files.
"Add-in" means the Udraft 3D Revit add-in, when and as released.
2. Your account
2.1 You must give accurate information when you register and keep it current. Accounts are protected by two-factor authentication; you are responsible for everything done under your credentials until you tell us they are compromised.
2.2 The Service is supplied for business purposes. You represent that you are acquiring it wholly or predominantly for business use, and that you have authority to bind the business named on the account.
2.3 Company accounts. A company admin who sets up a company on an email domain represents that they are authorised to act for that business. The admin controls membership, and members' paid creations draw on the admin's token balance as described on the site. Each member remains individually bound by these Terms and the EULA.
2.4 You may close your account at any time from the Security page. Closure is permanent; clause 8.6 and clause 16 describe what survives.
3. The Service
3.1 The Service turns Model Data you upload into Output Files. What each tier, token pack and membership includes is described on the site at the time you buy, and those descriptions form part of these Terms.
3.2 Some formats are processed through third-party infrastructure: Revit, DWG and Navisworks files are transmitted to Autodesk Platform Services for conversion and are subject to Autodesk's terms while there. Payments are processed by PayPal under PayPal's terms; we never see your card details.
3.3 We may add, change or withdraw features, formats and tiers. A change does not affect a creation already paid for, an Output File already generated, or tokens already purchased.
3.4 The Service is provided without any commitment to availability, uptime or continuity, subject always to clause 14. Maintenance, upgrades and factors beyond our control may interrupt it.
4. Uploads, retention and your content
4.1 Your Model Data remains yours. You grant Udraft a non-exclusive, worldwide, royalty-free licence to receive, store, process, transmit (including to Autodesk as described in clause 3.2) and reproduce your Model Data solely to provide the Service, including generating and delivering Output Files and diagnosing faults.
4.2 You warrant that you hold all rights necessary to upload the Model Data and to have it processed as described, and that it does not infringe any person's rights or any law.
4.3 Retention is deliberately short and is stated on the upload page: uploaded files are deleted once the creation finishes, and a finished Output File is deleted when you download it or after the stated waiting period, whichever comes first. The Service is not storage. Keep your own copies; we hold none after deletion.
4.4 We may remove content and refuse service where we reasonably believe an upload is unlawful, infringing, malicious or a risk to the Service, and may preserve and disclose material where the law requires.
5. Acceptable use
You must not, and must not permit anyone to:
(a) use the Service in breach of any law or these Terms, or upload material that is unlawful, infringing, defamatory or malicious (including malware);
(b) resell, rent, or operate the Service as a bureau or service for third parties without a written agreement with Udraft;
(c) circumvent or interfere with any usage limit, verification step, watermark, edition flag, entitlement or other technical or commercial control, or access another customer's account, jobs or files;
(d) probe, scan, overload, scrape or disrupt the Service or attempt to gain unauthorised access to any system or data;
(e) create accounts or free-tier identities by automated means, or misrepresent an email address or domain as yours; or
(f) use the Service or its outputs to build, train or assist a product that competes with the Software, or as prohibited by the EULA.
Each paragraph of this clause is a material term.
6. Free Tier, communications and marketing
6.1 The Free Tier exists so you can judge the Service before paying. Free Output Files are watermarked, feature-limited and licensed for evaluation only — not for delivery to your clients.
6.2 The Free Tier requires a verified business email address. We send service messages — verification codes, receipts, notices about your jobs and account — whenever you use the Service; these are not marketing and cannot be opted out of while you use the Service.
6.3 Marketing consent. By providing your email address to use the Free Tier, you consent, for the purposes of the Spam Act 2003 (Cth), to Udraft sending you commercial electronic messages about Udraft products, features, pricing and offers. Every such message will identify Udraft as the sender and contain a functional unsubscribe facility, and we will honour an unsubscribe promptly. Unsubscribing from marketing does not affect service messages or your use of the Service.
6.4 Account holders may receive marketing on the same terms; you can unsubscribe at any time without affecting your account.
6.5 We handle personal information in accordance with the *Privacy Act 1988* (Cth) and the Australian Privacy Principles. We collect what the Service needs to operate — account details, billing records, job metadata, and the email addresses described above — and do not sell personal information.
7. Memberships and automatic renewal
7.1 A membership is a recurring subscription: you approve it once with PayPal and the plan price is charged automatically each period until you cancel. The price, period, included tokens and features of each tier are stated on the Membership page when you subscribe.
7.2 You can cancel at any time, on the Membership page or within PayPal. Cancellation stops future charges; the period already paid for runs its course, and clause 8.4 governs its included tokens.
7.3 If a renewal payment fails, we may retry it and suspend membership benefits until it succeeds; PayPal may cancel the subscription after repeated failures.
7.4 A price change applies only to new subscriptions and renewals after reasonable notice; an existing subscriber keeps the price they signed at until they cancel or change plan.
7.5 Pay-as-you-go. A member may switch on pay-as-you-go top-ups on the Membership page by approving, once, a PayPal payment method for Udraft to charge. From then on, when a creation needs more tokens than the account holds, the shortfall is extended as credit and used; the tokens so used during a membership period are charged to that method in one transaction at the end of that period — on the day the membership renews, or, if the membership has been cancelled or has ended, on the day it ends — at the membership's per-token rate stated on the Pricing page when the credit was first extended, plus GST where clause 8.4 applies. Credit in any period is capped at the membership's monthly token allowance; unused credit is never charged. A tax invoice is issued for each charge. You can switch pay-as-you-go off at any time; credit already used in the current period is still charged at its close. If a charge is declined we may retry it, and no further credit is extended until it succeeds.
8. Tokens, payments, GST and refunds
8.1 Tokens are prepaid credits redeemable only against the Service. Tokens are not money, are not transferable outside a company arrangement under clause 2.3, have no cash value, and cannot be exchanged or redeemed for cash except where the law requires.
8.2 Purchased token packs do not expire. Tokens included with a membership period expire when that period ends or the membership is ended, as stated on the site. A member buys token packs at the price shown to them on the site, which is their membership's per-token rate or the public pack price, whichever is lower.
8.3 Each creation is charged what it actually uses, never more than the estimate shown before you start it; a failed creation is not charged.
8.4 Prices are in Australian dollars and are stated exclusive of GST. For customers in Australia, 10% GST is added at checkout and a tax invoice itemising it is issued for every purchase; for customers outside Australia, supplies are GST-free exports.
8.5 Other than as required by law — including the Australian Consumer Law, under which nothing in this clause limits your rights for a major failure — payments and token purchases are non-refundable. Where we refund a payment, the tokens it bought are cancelled, and if they were already spent we may suspend the account until the difference is resolved.
8.6 On account closure, remaining tokens are forfeited (this is stated again before you confirm closure) and purchase records are retained as tax law requires.
9. Output Files
9.1 Output Files, the Viewer Code inside them, watermarks, edition flags and the licence to distribute them are governed by the EULA — including clause 6 of the EULA: **an Output File is a visualisation aid, not a certified deliverable**, and figures taken from one must be verified against the authoritative source model.
9.2 Free Tier Output Files carry a watermark that must not be removed or obscured.
10. The Revit add-in and future products
10.1 When released, the Add-in will be supplied under the EULA and these Terms, with any additional terms stated at purchase. Features, pricing and availability described before release are indicative only and do not form an offer.
10.2 Anything marked beta, preview or pre-release is supplied for evaluation, may change or be withdrawn without notice, and is provided with no commitments beyond those the law implies.
11. Intellectual property
The Service, the site, the Software, the Viewer Code, the payload format, and all associated intellectual property are and remain the property of Udraft and its licensors. These Terms grant you no rights in them except the limited rights expressly stated in these Terms and the EULA.
12. Third-party services
The Service depends on third parties — including Autodesk Platform Services, PayPal and email carriage — whose availability and conduct are outside Udraft's control. To the extent permitted by law, Udraft is not responsible for their acts, omissions or outages, though clause 14 always applies.
13. Suspension and termination
13.1 We may suspend or restrict an account, without prior notice where reasonably necessary, if we reasonably believe it has breached clause 5, is the subject of a payment dispute or chargeback, presents a security risk, or is being used unlawfully. We will tell you and, where the issue can be fixed, give you a reasonable opportunity to fix it.
13.2 We may terminate these Terms for a material breach not remedied within 14 days of notice, and may close the Service itself on 30 days' notice, in which case unspent purchased tokens will be refunded pro rata.
13.3 Clauses 4.2, 5, 6.5, 8, 9, 11, 14, 15 and 16 survive termination, as do the EULA clauses it says survive.
14. Australian Consumer Law
14.1 **Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law ("ACL") that cannot lawfully be excluded, restricted or modified**, and any term that would do so does not apply to that extent.
14.2 Where you acquire the Service as a "consumer" under the ACL: our services come with guarantees that cannot be excluded. For major failures with a service you are entitled to cancel and obtain a refund for the unused portion, or compensation for its reduced value, and to compensation for other reasonably foreseeable loss or damage. If a failure is not major you are entitled to have it fixed in a reasonable time.
14.3 Where the ACL permits Udraft to limit its liability for breach of a guarantee (other than one under sections 51 to 53 of the ACL), Udraft's liability is limited, at its option, to resupplying the services or paying the cost of having them resupplied.
15. Liability
15.1 Subject to clause 14, the Service is provided "as is" and "as available", and all other warranties, conditions and representations are excluded.
15.2 Subject to clause 14, Udraft is not liable for loss of profit, revenue, business, goodwill, anticipated savings, data or Model Data, nor for indirect, incidental, special or consequential loss, however arising.
15.3 Subject to clause 14, Udraft's total aggregate liability arising out of or in connection with these Terms and the Service, on any basis including negligence, is limited to the greater of A$100 and the total fees you paid Udraft in the 12 months before the event giving rise to the liability.
15.4 You indemnify Udraft against claims, losses and costs arising from your breach of clauses 4.2 or 5, or from your Model Data or its processing at your direction infringing a third party's rights.
15.5 Each party must take reasonable steps to mitigate its loss, and Udraft's liability is reduced to the extent your acts or omissions caused or contributed to it.
16. General
16.1 Changes to these Terms. We may update these Terms. Material changes will be notified on the site or by email at least 14 days before they take effect, and apply from then to your continued use; the version that applies to a purchase is the one in force when you made it.
16.2 Assignment. You may not assign these Terms without our written consent; we may assign them to a successor of our business.
16.3 Entire agreement. These Terms and the EULA are the entire agreement about the Service, and nothing excludes liability for fraud.
16.4 Severability, waiver, relationship. An unenforceable provision is severed and the rest continues; not enforcing a right does not waive it; nothing creates a partnership, agency or employment.
16.5 Notices may be given to the email address on your account and are taken to be received one business day after sending.
16.6 Governing law. These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the exclusive jurisdiction of its courts and the courts competent to hear appeals from them.
